# Lda. vs S.A. in Portugal: Private or Public Limited Company?

**Quick answer:** An Lda. needs just €1 of capital per partner, one or more partners and simple management by gerentes. An S.A. needs €50,000 of capital, normally at least five shareholders (or one company), a formal board and a statutory auditor. For almost all startups and small businesses an Lda. is the right choice; an S.A. suits larger companies, share-based investment rounds and listings.

Portugal has two main types of limited-liability company: the **Sociedade por Quotas (Lda.)** and the **Sociedade Anónima (S.A.)**. Both protect the owners' personal assets, but they are built for very different sizes of business.

## When an Lda. is the better choice

- You're a founder, a small team or a family business.
- You want minimal capital and simple governance.
- Ownership changes will be rare and between known people.

## When an S.A. makes sense

- You expect several investment rounds with many shareholders.
- You need freely transferable shares, or plan to list on a stock exchange.
- The business is large enough that a formal board and audit are expected anyway.

## Conversion later

An Lda. can be transformed into an S.A. by resolution of the partners, provided the capital and governance requirements are met. Many Portuguese startups start as an Lda. and convert only when a larger funding round requires it.
